Information for shareholders - delisting of EXACT Therapeutics’ shares from Euronext Growth, Oslo
Following the resolution by the Annual General Meeting on 12 June 2026, Euronext Oslo Børs has approved the delisting of EXACT Therapeutics AS (“EXACT” or the “Company”) from Euronext Growth Oslo.
The last day of trading in EXACT shares on Euronext Growth Oslo will be 9 October 2026. The shares will be removed from trading with effect from 12 October 2026.

Background to the delisting
The decision to delist follows the Board’s assessment that a private company structure is better suited to EXACT’s next phase of development.
Trading in the Company’s shares on Euronext Growth Oslo has been very limited, and EXACT’s shareholder base is concentrated among a relatively small number of shareholders.
As EXACT advances its clinical development programme, access to specialised international life-science investors and venture capital is expected to become increasingly important. Based on the Company’s dialogue with potential investors and advisers, the Board believes that a private company structure will provide greater flexibility in pursuing future financing opportunities and is better aligned with EXACT’s current stage of development and shareholder structure.
What the delisting means for shareholders
The delisting itself does not affect shareholders’ ownership of EXACT. Shareholders will continue to own the same number of shares in the Company. Voting rights remain unchanged, and the protections afforded to shareholders under Norwegian company law remain in place.
Shareholders do not need to take any action in order to retain ownership of their shares as a result of the delisting.
Until and including 9 October 2026, EXACT shares will continue to be available for trading on Euronext Growth Oslo. Following the delisting, the shares will no longer be traded on Euronext Growth Oslo and there will no longer be an exchange-based marketplace or publicly quoted market price for the shares.
Trading and liquidity after the delisting
Following the delisting, any transfer of shares would need to be arranged privately between a buyer and a seller. EXACT will not facilitate trading in the shares, whether through an OTC registration, a company-operated matching arrangement, or other internal trading system.
Shareholders should therefore expect that it may be more difficult to sell or purchase shares following the delisting, and that any private transaction may take longer to arrange than trading on Euronext Growth Oslo.
The practical process for registering transfers of shares following the delisting will depend on the shareholder registration arrangements applicable at that time. The Company is assessing the arrangements that will apply following the delisting and will provide further information ahead of the delisting.
EXACT following the delisting
The delisting does not change the Company’s clinical and operational priorities. EXACT remains focused on advancing PS101 and its clinical development programme in locally advanced pancreatic cancer.

Frequently asked questions
Do I still own my shares after the delisting?
Yes. The delisting does not affect your ownership of shares in EXACT. You will continue to own the same number of shares as before the delisting, and your voting rights and shareholder rights under Norwegian company law remain unchanged.

Any transfer of shares would need to be arranged privately between a buyer and a seller, including agreement on the price and other terms of the transaction.
Will EXACT arrange an OTC or internal trading solution?
No. EXACT will not facilitate trading in the shares, whether through an OTC registration, a company-operated matching arrangement, or other internal trading system.
What happens to the market price of the shares?
Following the delisting, there will no longer be a publicly quoted market price for the shares on Euronext Growth Oslo. The Company will not provide price indications for private transactions.
Will I still receive information from the Company?
Following the delisting, EXACT intends to keep shareholders informed of relevant Company developments and financial information through appropriate communication channels, taking into account the Company’s status as a private company.
What happens to shareholder communication through VPS?
Formal shareholder communications, including notices of General Meetings, are currently distributed through Euronext Securities Oslo (VPS). Shareholders who currently receive these communications by post are encouraged to change their communication preference in VPS to electronic delivery while the Company continues to use VPS for such communications. The Company is assessing the arrangements that will apply following the delisting and will provide further information ahead of the delisting.
